  3. NON-DISCLOSURE AGREEMENT

  7. ________________________ may from time to time disclose to ____ 
  8. ___________ certain confidential information or trade secrets 
  9. generally regarding ___________________________.

  11. ________________ agrees that it shall not disclose the 
  12. information so conveyed, unless in conformity with this 
  13. agreement. ________________ shall limit disclosure to the 
  14. officers and employees of ________________ with a reasonable 
  15. "need to know" the information, and shall protect the same from 
  16. disclosure with reasonable diligence.

  18. As to all information which ________________________ claims is 
  19. confidential, ________________________ shall reduce the same to 
  20. writing prior to disclosure and shall conspicuously mark the same 
  21. as "confidential," "not to be disclosed" or with other clear 
  22. indication of its status. If the information which _____________

  24. machine or device, ________________________ shall be required 
  25. prior to or at the same time that the disclosure is made to 
  26. provide written notice of the secrecy claimed by _____________

  31. The obligation of non-disclosure shall terminate when if any of 
  32. the following occurs:

  34. (a) The confidential information becomes known to the public 
  35. without the fault of ________________, or;

  37. (b) The information is disclosed publicly by _____________

  40. (c) a period of ___ months passes from the disclosure, or;

  42. (d) the information loses its status as confidential through no
